These Terms of Use (“Terms”) govern your access to nviria.com and related marketing materials published by NVIRIA about RIVA and our offerings. By using the site, you agree to these Terms.

If you enter a separate written agreement with us (for example an enterprise order), that agreement controls for the services it covers.

1. Who we are

NVIRIA provides RIVA, an AI-native operating system for software development, and related early access programs. Product names, branding, and site content are owned by NVIRIA or its licensors.

2. The website

The site is provided for information, marketing, and inbound contact. Content may describe plans, features, and roadmaps that can change. Pricing and packaging shown on the site are list information and may be updated without notice unless we have agreed otherwise in writing.

You may not misuse the site, attempt to disrupt it, scrape it in bulk without permission, or use it to send spam or unlawful content.

3. Early access and inquiries

Submitting a contact form or joining a waitlist does not create a paid subscription or guarantee access. We may accept or decline early access requests at our discretion.

Any trial, pilot, or paid subscription will be subject to additional terms, an order form, or an invoice we provide.

4. Plans and licenses (summary)

Public marketing describes offerings such as:

An Individual license is for one named operator on one workspace. Sharing that workspace so that additional people operate RIVA as if they held Team seats is not permitted. Team and Enterprise licenses define multi-operator use.

Software, documentation, and related materials remain our intellectual property. Your license, when granted, is limited, non-exclusive, and non-transferable except as we allow in writing.

5. Your responsibilities

You are responsible for the accuracy of information you submit to us, for how your organization uses RIVA if access is granted, and for complying with applicable law. You must not use our products or site for unlawful, harmful, or infringing purposes.

6. Third-party tools

RIVA may be used alongside third-party editors, models, and platforms you choose. Those tools are governed by their own terms. We are not responsible for third-party products or for outputs generated by models you connect.

7. Disclaimers

The site and any early access software are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

We do not warrant that the site or software will be uninterrupted, error-free, or free of harmful components.

8. Limitation of liability

To the fullest extent permitted by law, NVIRIA and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the site or early access offerings.

Our aggregate liability for claims relating to the site is limited to one hundred US dollars (USD 100), or the amount you paid us for the specific paid service giving rise to the claim in the three months before the claim, whichever is greater, unless a signed enterprise agreement states otherwise.

9. Indemnity

You will defend and indemnify NVIRIA against claims arising from your misuse of the site, your violation of these Terms, or content you submit through our forms, except to the extent caused by our willful misconduct.

10. Privacy

Our handling of personal information is described in the Privacy Policy.

11. Changes

We may update these Terms by posting a revised version on this page. The “Last updated” date will change when we do. If you continue to use the site after changes take effect, you accept the revised Terms.

12. Governing law

These Terms are governed by the laws of Vietnam, without regard to conflict-of-law rules, unless a signed agreement with you specifies another governing law. Courts in Vietnam will have exclusive jurisdiction for disputes arising from the marketing site, subject to mandatory consumer protections that cannot be waived.
